The Omega Key Game: Terms & Conditions

Introduction

  1. These terms and conditions (the “Terms”) apply to the Omega Key Game (the “OKG”) as operated by The Cypherverse Ltd, trading under the name VoxoDeus (”TCV” or “VoxoDeus”). TCV provides a collection of unique digital 3D models on the Ethereum network, each represented by a non-fungible token (”NFT”) (each a “Voxo”).
  2. The “Materials” are the “Rules”, “Playbook”, “FAQ” and other materials relating to the OKG made available by TCV from time to time on: (a) VoxoDeus’ official website at voxodeus.io (the “Website”), (b) the channel titled “Announcements” on VoxoDeus’ official Discord server (via services provided by Discord Inc. and its related companies), and (c) pages filed under the site titled “VoxoDex” on VoxoDeus’ official Notion site (via services provided by Notion Labs, Inc. and its related companies). The Materials form part of these Terms. The “OKG Sites” are website(s) operated or managed by TCV, and/or website(s) whose contents were provided by TCV in whole or in part, on which the Materials may be distributed or disseminated.
  3. In the event that there is any conflict between these Terms and any of the Materials, these Terms shall prevail.
  4. By clicking “Agree and Connect” on the OKG “Play” page, accessing the OKG Sites, Registering a Key (defined below) or otherwise participating in the OKG (each an act of ”OKG Access”), you agree that you have read and understood, and accept and agree to comply with these Terms (as amended from time to time). If you do not agree to any part of these Terms, you must NOT participate in the OKG and must refrain from effecting any OKG Access.

Eligibility

  1. The OKG begins at 15:00 UTC on 22 February 2022 (or as otherwise announced by TCV) (the “OKG Kickoff”).
  2. “Eligible Voxo(s)” are Voxos identified by TCV to be of the “Sapiens” or “Robits” Species. A “Key” is an identifier added to a Voxo on the Ethereum network. “KeyVoxo(s)” are Eligible Voxo(s) which have been assigned a Key.
  3. TCV does not offer the OKG for commercial purposes and does not intend to operate the OKG to generate a profit. The OKG is not available to the general public. You are eligible to participate in the OKG only if you own one or more Eligible Voxo(s) (or have permission from the legal owner of the Eligible Voxo(s) to participate in the OKG at the time of and/or after the OKG Kickoff) and meet the age and legal requirements set out under “Representations and Warranties” of these Terms. In respect of the ownership of an Eligible Voxo, “own” means you have purchased or otherwise rightfully acquired an Eligible Voxo from a legitimate source, where proof of such purchase/ownership is recorded on the Ethereum network. You are a “Participant” if you are eligible to participate in the OKG and if you perform an act of OKG Access (thereby accepting these Terms) and own a KeyVoxo at any time after the OKG Kickoff.

Mechanics and Rewards

  1. The OKG is designed as a strategic game. Please refer to the Materials for further details regarding the OKG’s game mechanics.
  2. A Participant may own multiple cryptocurrency wallets. The OKG considers each cryptocurrency wallet with individual wallet address owned by a Participant (a “Wallet”) as a distinct entry. TCV will not aggregate the contents of any Participant’s wallets for any purpose, aspect or part of the OKG.
  3. Keys are only assigned to Eligible Voxos. A Participant may “Register” a Key on the Website (”Registration”). Registration is wallet-specific and does not entitle any other wallets owned by a Participant to any Keys or Registration. Each Key may eventually be removed or modified in accordance with the Materials or when the OKG ends at TCV’s sole discretion.
  4. A Wallet that meets reward requirements set out by TCV in the Materials may be eligible to claim a reward (”Reward”). A Reward would only be distributed if a Wallet’s owner claims the reward by informing TCV via the Website. Once a Participant claims a Reward, no other Wallet shall be eligible to claim the same Reward by meeting the corresponding requirements.
  5. TCV shall only distribute a Reward to the specific Wallet address used by a Participant to claim the Reward. TCV will not transfer the Reward, in full or in part, to any other cryptocurrency wallet.
