These terms and conditions (the “Terms”) constitute a legally binding agreement made between the user (“you”), whether personally or on behalf of an entity and The Cypherverse Ltd (trading under the name ‘Cosmic Dream Lounge’), (“The Entity”; “we"; “us”) concerning your access to and use of the cdlounge.io website, smart-contracts, as well as any other media form, media channel, mobile website or mobile interface, smart contracts related, linked, or otherwise connected thereto (the “Web Services”, and the "Smart Contracts”).
Cosmic Dream Lounge is a collection of digital art built on top of the Solana network. The collection consists of unique Profile Pictures (the “Lounger” or “Art”) on the blockchain which are each represented by a non-fungible token (“NFT”). The Magic Eden marketplace allows participants to purchase the NFT (the “Purchased Lounger”). The Entity will provide Web Services which provide additional utility for the Purchased Lounger. After the sale of an NFT to you, the ownership of the NFT, and to the connected Art, is transferred from the Solana smart contract to the purchaser and concludes the business transaction between both parties.
The Entity is selling the Art via the NFT and is making the Web Service available to you. However, by purchasing an NFT or using the website and the Solana smart contracts, you agree to these Terms as amended from time to time and any terms and conditions.
PLEASE READ THESE TERMS CAREFULLY BEFORE MAKING A PURCHASE OF AN NFT AND/OR USING THE WEB SERVICES. THESE TERMS GOVERN YOUR PURCHASE OF THE NFT AND USE OF THE WEB SERVICES. THE ENTITY ONLY MAKES THE NFT AND THE WEB SERVICES AVAILABLE TO YOU IF YOU ACCEPT ALL OF THESE TERMS. BY USING THE WEB SERVICES, OR ANY PART OF THEM, OR BY CLICKING “I ACCEPT” BELOW OR INDICATING YOUR ACCEPTANCE IN AN ADJOINING BOX, YOU ARE CONFIRMING THAT YOU FULLY UNDERSTAND AND AGREE TO BE BOUND BY ALL OF THESE TERMS. IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO ACCEPT THESE TERMS ON THAT ENTITY’S BEHALF, IN WHICH CASE “YOU” WILL MEAN THAT ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT ACCEPT ALL OF THESE TERMS, THEN WE ARE UNWILLING TO MAKE THE WEB SERVICES OR THE SMART CONTRACTS AVAILABLE TO YOU. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SMART CONTRACTS OR WEB SERVICES.
A. The VoxoDeus Interface is a collection of 6313 unique digital 3D models, displayed via an iFrame each represented by an NFT.
B. The VoxoDeus NFTs are sold during an initial sales period of up to 3 weeks (21 days) according to the price schedule displayed on the website (https://voxodeus.io). All unsold Voxos during the initial sales period will remain purchasable after the initial sales period has concluded. The Entity does not provide any additional services to the user after the business transaction is concluded.
C. You can access the interface via any web browser using the URL https://voxodeus.io and MetaMask wallet. You could alternatively also use the OpenSea marketplace.
D. Transactions on the Interface are managed and confirmed via the Ethereum blockchain. We neither own nor control MetaMask, Google Chrome, the Ethereum network, or any other third-party website, product, or service that you might access, visit, or use for the purpose of enabling you to use the various features of the Interface. We will not be liable for the acts or omissions of any such third parties, nor will we be liable for any damage that you may suffer as a result of your transactions or any other interaction with any such third parties.
E. You are responsible for your MetaMask wallet (and other Ethereum wallets) and the private key to access it. The VoxoDeus interface will never ask a user to enter their private key on our website!
F. The VoxoDeus NFTs are digital art works and serve no other purpose other than that of an art work.
